OYASHOP – TERMS AND CONDITIONS

Governing Law: England and Wales1. INTRODUCTION1.1 OyaShop Ltd (“OyaShop”, “we”, “our”, “us”) is a product of MISTECh and operates as part of its group of companies. References to OyaShop in these Terms shall also include MISTECh, its subsidiaries, affiliates, and associated entities (together “MISTECh Group”), unless otherwise specified.1.2 By using our website, mobile app, or related services, you agree to be bound by these Terms andConditions.1.3 OyaShop acts solely as an intermediary platform. Vendors are independent contractors, not employees, representatives, or agents of OyaShop or MISTECh. OyaShop and MISTECh do not prepare or deliver goods and are not responsible for the quality, safety, legality, or compliance of Vendor offerings.
1.4 SCOPE OF TERMSThese Terms apply to OyaShop Ltd and the MISTECh Group. By using the platform, registering an account, or participating in the referral programme, Users, Vendors, and participants agree that these Terms apply across all OyaShop and MISTECh entities, and any rights, obligations, or liabilities extend accordingly.PART A: USER TERMS AND CONDITIONS2. ACCOUNT CREATION AND ELIGIBILITY2.1 Users must be at least 18 years old and capable of entering legally binding agreements.2.2 Users are responsible for maintaining the confidentiality of their account credentials and for allactivities under their account. Unauthorised use must be reported immediately to OyaShop.3. PLACING ORDERS3.1 Orders placed via OyaShop create a direct contract between the User and the Vendor. OyaShop is not aparty to the contract.3.2 Product descriptions, prices, and availability are provided by Vendors. OyaShop is not responsible forerrors, omissions, or misrepresentation by Vendors.3.3 Allergen and Ingredient Information: Users must check allergen, dietary, and ingredient informationdirectly with Vendors before ordering. While Vendors are required to provide accurate information,OyaShop does not verify or guarantee its accuracy. Users with allergies or dietary restrictions mustconfirm suitability with the Vendor prior to consumption.4. PAYMENTS AND REFUNDS4.1 Payments are securely processed via authorised third-party payment providers.4.2 OyaShop collects payments on behalf of Vendors and is authorised to process refunds under theVendor’s terms.4.3 Refund Policy:
5. DELIVERY AND COLLECTION5.1 Delivery times are estimates and may vary depending on Vendor or courier availability. Oyashop isnot responsible for delays caused by Vendors, couriers, or unforeseen circumstances.5.2 Risk passes to the User once the goods are collected or delivered.5.3 Failed or Incorrect Delivery:

CANCELLATIONS AND REFUNDS6.1 Users may cancel orders only if the Vendor has not begun preparing the order.6.2 If a Vendor cancels the order, the User will receive a full refund promptly.6.3 Users should submit cancellation requests as soon as possible via the platform.7. 8. LIMITATION OF LIABILITYThe quality, safety, legality, or fitness of goods or services.8.1 OyaShop and MISTECh are not liable for:
Delays, failures, or errors caused by Vendors, couriers, or events outside our control.
Loss of profits, revenue, goodwill, or indirect losses.8.2 To the fullest extent permitted by law, MISTECh’s liability is expressly excluded from all claims arising from the use of OyaShop’s platform.

PRIVACY NOTICE9.1 OyaShop processes personal data in accordance with UK GDPR.9.2 Data is shared with Vendors and couriers solely for fulfilling orders.9.3 Personal data may also be processed by MISTECh as the parent company, for operational, compliance, and service purposes.9.4 Users’ personal data is stored securely and may be used for account management, order fulfilment, compliance, and marketing (with consent).9.5 Users may request access to their personal data, corrections, or deletion by contacting OyaShop or MISTECh.PART B: VENDOR TERMS AND CONDITIONS (REVISED AND EXPANDED)10. REGISTRATION AND COMPLIANCE10.1 Vendors must provide accurate business details, licences, and proof of compliance with all applicableUK laws, including food safety, hygiene, and trading standards.10.2 Vendors are solely responsible for allergen, dietary, and ingredient information and must ensure thatit is accurate, complete, and up-to-date.10.3 Vendors are solely responsible for ensuring their goods are safe, of satisfactory quality, and notexpired.10.4 Vendors may be removed or suspended from the OyaShop by MisTech platform if:

MENU AND PRICING11.1 Vendors control pricing, descriptions, and availability of their goods and services.11.2 OyaShop by MiStech reserves the right to temporarily remove listings that violate UK law, these Terms, orreceive repeated complaints from Users regarding quality or safety.12. ORDER FULFILMENT12.1 Vendors must prepare and fulfil orders promptly and safely.12.2 Vendors are responsible for any incorrect, unsafe, or late fulfilment.12.3 Vendors are expected to contact Users directly if issues arise with delivery, including delays orproduct concerns.13. FEES AND PAYMENTS13.1 OyaShop by MiStech collects payments on behalf of Vendors and deducts the agreed commission fees.13.2 Vendors can choose to receive payments weekly or monthly into their dedicated bank account.Payment schedules will be set up upon registration and can be updated with OyaShop’s approval.13.3 Payments will only be made for orders that have been fulfilled and for which the refund period haspassed. If a refund is requested or pending, OyaShop by MiStech will withhold the payment until the matter isresolved.13.4 If a Vendor receives cash payments directly from Users, OyaShop by MiStech will deduct the applicablecommission for that order from the Vendor’s account balance or next scheduled payment.13.5 Final settlement schedules, including deductions for refunds, commissions, or adjustments, will becommunicated to Vendors in advance.13.6 Vendors indemnify and hold OyaShop by MiStech harmless from any losses, damages, or claims arising from theVendor’s goods, services, or conduct.13.7 OyaShop’s liability to Vendors is limited to direct losses up to the commission earned on the disputedorder.13.8 If a disputed order is investigated and determined to be the Vendor’s direct fault, no liability orpayment obligation will arise for OyaShop by MiStech.14. INTELLECTUAL PROPERTY14.1 Vendors grant OyaShop by MiStech a worldwide, non-exclusive, royalty-free licence to use trademarks, logos,menu content, and images for the purposes of operating and marketing the platform.14.2 This licence may be revoked only upon termination and after any outstanding obligations have beensettled.14.3 Vendors acknowledge that any intellectual property uploaded or shared with OyaShop by MiStech remains theproperty of the Vendor, except for the licence granted above.15. TERMINATION15.1 Either party may terminate these Terms with written notice.15.2 Upon termination, outstanding orders must still be processed and completed. Vendors must fulfil allpending orders unless otherwise agreed with OyaShop by MiStech.15.3 Final financial settlements, including commission deductions, refunds, or payments owed, will bereconciled.15.4 Accounts will remain active for three months following termination to allow resolution of pendingorders, disputes, or refunds. After this period, Vendor accounts and associated data will be permanentlydeleted.
20.3 Unauthorised use, reproduction, or distribution of intellectual property is strictly prohibited.
